3. Letter of Intent (LOI)

When you’re ready to move forward, the next step is submitting a Letter of Intent (LOI). The LOI outlines the proposed purchase price, deal structure, and major terms of the acquisition. While typically non-binding, it establishes alignment between buyer and seller and allows the transaction to move into due diligence.

4. Due Diligence

During due diligence, buyers take a deeper look at the business’s financials, operations, contracts, and customer base. This phase ensures that the information presented during the sale process is accurate and helps confirm the long-term viability of the business.

5. Financing

Many acquisitions are funded through SBA-backed loans. The most common option is the Small Business Administration 7(a) loan program, which allows buyers to acquire businesses with competitive rates and longer repayment terms. Through our partnership with Truliant Federal Credit Union, buyers have access to experienced SBA lenders who specialize in acquisition financing.

6. Closing

Once financing is approved and due diligence is completed, the final legal documents are prepared and the transaction moves to closing. Ownership transfers, funds are disbursed, and you officially become the new owner of the business.
